Overall aims and purpose

This module will focus on the law relating to corporate governance including the rights, powers and duties of directors, managers and auditors and the position of stakeholders including employees and the communities in which Companies operate. The initial focus will be on the law as developed in the UK but thereafter a comparative approach will be adopted with consideration of materials from the US, other European Union Member states, East Asia, and China. The Seminars will include detailed examination of corporate scandals in the US and Europe and provide a road map for international corporate governance including developments in Africa, Asia and China in particular.

Learning outcomes

  1. Demonstrate a detailed and systematic knowledge of those legal principles (legislation, case law) governing areas of corporate regulation in selected jurisdictions;

  2. Describe the effectiveness of the operation of different regulatory principles in these jurisdictions;

  3. Describe current theories of corporate governance and how these are interpreted in selected jurisdictions;

  4. Demonstrate an understanding of the historical development of corporations; law in selected jurisdictions and the policy considerations influencing the nature of the regulation;

  5. Critically analyse the operation of existing legal principles against this background;

  6. Formulate, investigate and refine suggestions for the development and/or reform of existing regulatory principles;

  7. Plan and produce detailed research, using appropriate research techniques, thereby demonstrating the capacity for sustained independent thought;

  8. Effectively communicate the results of this research using different techniques making use of appropriate legal and commercial terminology and supported by accurate citation and source material.

  9. Critically evaluate the corporate governance debate from an international perspective;

Seminar

This module will consist of 11 x 2 hour seminars. Each seminar focuses on topical issues in Company Law and the application of the relevant legal provisions to the commercial sector. Background reading will be set in advance together with some preliminary questions which will form the basis for discussion in the seminar.

Other forms of teaching such as class presentations by students and guest presentations by practitioners may take place from time to time.
