Amcanion cyffredinol

  1. To provide students with an overview of the key aspects of the legal system of England and Wales and an Introduction to Business Law.
  2. To enable students to study key areas of substantive law and their importance associated with the legal system of England and Wales
  3. To provide students with an overview of the law relating to business organisations, in particular the law relating to partnerships and limited companies, legal personality, the capital and financing and the management, administration and regulation of companies. 4 .To enable students to briefly look at Insolvency Law and Fraudulent and criminal behaviour

Cynnwys cwrs

The module introduces the student to the legal system of England and Wales, providing a framework to study ‘What is Law’. It will provide an outline of the essential differences between common law and civil law systems. It will also provide students with a brief introduction to areas of substantive law such as the essentials of contract; the tort or negligence and business formation. It will also introduce students to Employment Law, so that they understand Contracts of Employment and elements of dismissal and Redundancy. The module will also outline the law relating to business organisations, in particular the law relating to partnerships and limited companies. It will consider legal personality, the capital and financing and the management, administration and regulation of companies. It elucidates on the guiding rules on shareholder's litigation rights. It will also briefly look at Insolvency Law and Fraudulent and criminal behaviour

  1. Demonstrate an ability to undertake independent legal research including the use of appropriate academic data bases.

  2. Show a good knowledge of the essentials of a contract and the key elements in establishing the tort of negligence

  3. Gain a good knowledge of the statutory rules regulating the raising and maintenance of a company’s share capital

  4. Demonstrate a good understanding of the internal structure of a company, its management and control, and the legal restrictions and requirements placed on a company’s board of directors.

  5. Show a good understanding of the different procedures by which a company may be wound up and explain the role and function of a liquidator

  6. Be able to show a good awareness and application of the key components of corporate personality including the potential of criminal liability

  7. Demonstarte a good knowledge of the basic principles of how law applies to business, including the formation of contracts, the tort of negligence and the alternative forms of business available, including the advantages and disadvantages of incorporation

ARHOLIAD Semester 1 Examination

The module will be examined by means of examination in each semester, which would both account towards the final assessment as follows:

1st Semester – 100% total marks (Core focus on Law of Contract, Law of Tort & Employment Law). The 1st Semester Examination is a 2 hour exam and paper will consist of five questions. Students must attempt THREE questions. This is a closed book exam and students would not be permitted to use any Book in the examination.

ARHOLIAD Semester 2 Examination

The module will be examined by means of examination in each semester, which would both account towards the final assessment as follows:

2nd Semester – 100% total marks (Core focus Company Law only) The 2nd Semester Examination is a 2 hour exam and paper will consist of five questions. Students must attempt THREE questions. Students will be permitted to use ONLY an un-annotated Company Law Statute Book in the examination.
